AppLogix Service Terms
By using AppLogix services, you agree to the terms below. These terms are intended to clarify how the service may be used, how billing and account responsibility work, and the limits of our liability.
1. Services Covered
AppLogix provides software tools intended to help businesses collect, manage, moderate, and display customer reviews. Services may include, but are not limited to:
- Embeddable review widgets
- Hosted review pages
- Review moderation and dashboard tools
- Branding and customization features
- Review collection links, QR access, and email-based tools
- Related support, onboarding, and implementation services
2. Acceptance of Terms
By accessing, subscribing to, or using AppLogix services, you agree to be bound by these terms. If you are using the service on behalf of a business or organization, you represent that you are authorized to accept these terms on that entity’s behalf.
3. Acceptable Use
You agree not to use AppLogix tools in a way that is unlawful, deceptive, abusive, or intended to manipulate customers unfairly. This includes, without limitation:
- Submitting or encouraging false, misleading, or fabricated reviews
- Using the platform to publish unlawful, defamatory, harassing, or abusive content
- Attempting to interfere with platform functionality, security, or availability
- Using automated or abusive methods to spam or flood the system
- Uploading content you do not have the right to use or display
4. User-Generated Content
Reviews, photos, business descriptions, logos, branding assets, and other submitted materials remain the responsibility of the user or client that provides them. AppLogix does not guarantee the accuracy, legality, or reliability of user-generated content.
You are responsible for ensuring that you have the right to use any materials uploaded or displayed through the service, including business logos, customer-submitted images, and other branded content.
5. Moderation and Platform Control
Depending on the subscribed plan, AppLogix may provide moderation tools, approval workflows, and related settings. Clients are responsible for how those settings are used. AppLogix reserves the right to suspend, restrict, or remove access to services if the platform is used in violation of these terms or in a way that presents legal, technical, or reputational risk.
6. Pricing, Invoicing, and Payments
Paid services are billed according to the subscribed plan, setup terms, and any applicable custom agreement. Fees may include setup charges, monthly subscription charges, taxes, and other amounts disclosed at onboarding or in a related invoice.
Unless otherwise agreed in writing:
- Subscription fees are billed on a recurring basis
- Invoices are due according to the stated billing terms
- Late or unpaid balances may result in service restriction or suspension
- Fees already paid are non-refundable unless required by law or agreed otherwise in writing
7. Taxes
Applicable taxes, including sales tax, GST, HST, VAT, or other required charges, may be added to invoices where required by law. Clients are responsible for payment of all applicable taxes unless valid exemption documentation has been provided and accepted.
8. Availability and Support
AppLogix aims to provide reliable service, but does not guarantee uninterrupted availability or that the platform will always be error-free. Scheduled maintenance, infrastructure issues, third-party outages, and other technical events may temporarily affect service.
Support may be provided according to the subscribed plan or any separate agreement. Response times are not guaranteed unless specifically agreed in writing.
9. Data and Privacy
AppLogix may process business and customer-facing data as part of providing the service. Clients are responsible for ensuring that their own collection and use of customer information complies with applicable privacy, consent, and data handling laws.
Clients should not use the service to collect or store information in a way that violates applicable law or exceeds what is reasonably necessary for the review workflow being used.
10. Intellectual Property
The AppLogix platform, branding, software systems, workflows, page structure, and related materials remain the property of AppLogix or its licensors unless otherwise stated. Use of the service does not transfer ownership of the platform, code, branding, or underlying systems.
Clients retain ownership of their own business names, logos, and materials they provide for use with the service.
11. Termination and Suspension
AppLogix may suspend or terminate service access if:
- Fees remain unpaid
- These terms are violated
- The service is used unlawfully or abusively
- Continued service would create legal, security, or operational risk
Clients may also request cancellation subject to the applicable billing cycle and any written service commitments.
12. Disclaimer of Warranties
AppLogix services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, AppLogix disclaims warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
13. Limitation of Liability
To the fullest extent permitted by law, AppLogix and its affiliates, officers, directors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of revenue, profits, goodwill, data, business opportunity, or business interruption arising out of or related to the use of the service.
Where liability cannot be excluded, AppLogix’s total liability related to the service will be limited to the amount paid by the client for the service during the three-month period immediately preceding the event giving rise to the claim.
14. Governing Law
These terms are governed by the laws applicable in the Province of Ontario and the laws of Canada applicable therein, unless another governing law is required by a written agreement or applicable law.
15. Changes to These Terms
AppLogix may update these terms from time to time. Updated terms become effective when posted on this page, unless otherwise stated. Continued use of the service after updated terms are posted constitutes acceptance of the revised terms.
